1. Agreement to these Terms
These Terms of Service ("Terms") govern access to and use of Quotr's websites, applications, software, subscriptions, demonstrations, support, and related services (collectively, the "Service"). By creating an account, purchasing a subscription, accessing, or using the Service, you agree to these Terms and our Privacy Policy.
If you do not agree, do not use the Service.
2. Business use and authority
The Service is intended for businesses and authorized business users. You must be at least 18 years old and legally able to enter into a contract. If you use Quotr for a company, store, franchise location, organization, or other entity, you represent that you are authorized to bind that entity to these Terms.
You are responsible for determining whether your use of Quotr complies with your organization's policies, franchise requirements, vendor agreements, privacy obligations, and applicable laws.
3. Accounts and security
You must provide accurate account and billing information and keep it current. You are responsible for all activity under your account and for assigning appropriate roles and permissions to owners, administrators, employees, and store users.
You must protect account credentials, use the Service only through authorized access methods, and notify us promptly at info@joinquotr.com if you suspect unauthorized access or a security incident involving your account.
4. Trials, subscriptions, and billing
Free trials
Quotr may offer a free trial. Trial length, included features, eligibility, and any billing requirements are shown during signup or in the applicable offer. We may modify or end a trial offer where permitted by law.
Paid subscriptions
Continued use after a trial requires an active subscription. Subscription price, billing interval, store count, taxes, and renewal terms are shown during signup or in your billing account. The standard price displayed on the Quotr website as of the effective date of these Terms is $24.99 per month per store, but promotional or updated pricing may apply.
Unless a different arrangement is shown at checkout, subscriptions renew for the same billing interval until canceled. You authorize our payment processor to charge the payment method associated with your subscription for recurring fees, applicable taxes, and authorized additions.
Cancellation
You may cancel future renewal through the available billing options or by contacting us. Cancellation generally takes effect at the end of the current paid billing period unless otherwise stated. Except where required by law or expressly provided in a written offer, fees already paid are non-refundable.
Price changes
We may change subscription pricing by providing notice as required by law. A price change will apply no earlier than the next renewal after the notice period described in that notice.
5. The Service and customer responsibility
Quotr provides tools for print quoting, product configuration, pricing, files, payments, orders, production coordination, customer records, reporting, and related workflows. Quotr does not manufacture print products, inspect customer artwork, operate your equipment, provide legal or tax advice, or independently verify that a quote, price, production method, file, or order instruction is correct.
You are responsible for:
- reviewing products, pricing, costs, markups, taxes, shipping, turnaround times, and production settings before relying on them;
- confirming customer specifications, file suitability, proofs, rights to artwork, and production requirements;
- maintaining accurate store, equipment, material, inventory, vendor, and user information;
- performing appropriate quality control and complying with applicable business, franchise, consumer, accessibility, tax, and privacy requirements; and
- maintaining backups or exports appropriate for your business needs.
6. Customer data and content
As between you and Quotr, you retain your rights in the information and content you submit to the Service, including customer records, product data, pricing, costs, files, artwork, notes, orders, reports, and related business information ("Customer Data").
You grant Quotr a limited, non-exclusive right to host, copy, transmit, process, display, and otherwise use Customer Data only as reasonably necessary to provide, secure, support, and improve the Service, comply with law, and carry out your authorized instructions.
You represent that you have the rights and permissions necessary to submit Customer Data and instruct Quotr to process it. You must not upload content that infringes intellectual-property, privacy, publicity, contractual, or other rights, or content that is unlawful or malicious.
Our handling of personal information is described in the Privacy Policy.
7. Acceptable use
You may not, and may not permit others to:
- use the Service for unlawful, fraudulent, deceptive, abusive, or harmful activity;
- access another organization, store, user, file, or account without authorization;
- probe, scan, disrupt, overload, or circumvent security, access controls, usage limits, or authentication;
- introduce malware, malicious code, or content intended to damage systems or data;
- scrape, harvest, or systematically extract data except through features we provide or written permission;
- reverse engineer, decompile, copy, resell, sublicense, or create derivative works from the Service except as allowed by law or written agreement;
- remove proprietary notices or misrepresent your relationship with Quotr; or
- use the Service to violate another person's intellectual-property, privacy, or contractual rights.
8. Third-party services
The Service may connect with or depend on third-party services, including Stripe, hosting providers, email providers, authentication services, scheduling services, vendors, and customer-selected production or fulfillment partners. Your use of a third-party service may be governed by that provider's terms and privacy policy.
Quotr is not responsible for third-party products, services, availability, pricing, processing decisions, delivery, or conduct. Connecting a third-party account authorizes Quotr to exchange the information necessary to provide the requested integration.
9. Quotr ownership
Quotr and its licensors own the Service, software, interfaces, designs, workflows, documentation, trademarks, branding, and all related intellectual-property rights, excluding Customer Data. These Terms grant you a limited, revocable, non-exclusive, non-transferable right to use the Service during an active trial or subscription for your internal business purposes.
If you provide suggestions or feedback, you grant Quotr the right to use that feedback without restriction or compensation, provided we do not identify you publicly without permission.
10. Confidentiality
Each party may receive non-public information that a reasonable person would understand to be confidential. The receiving party will use such information only for the relationship, protect it with reasonable care, and disclose it only to personnel and service providers who need it and are subject to appropriate obligations.
Confidential information does not include information that is publicly available without breach, already lawfully known, independently developed, or lawfully received without restriction. A party may disclose information when required by law after providing notice where legally permitted.
11. Changes, maintenance, and availability
We may improve, change, add, limit, or discontinue features, integrations, catalogs, or parts of the Service. We may perform scheduled or emergency maintenance. We aim to provide a dependable service but do not guarantee uninterrupted or error-free availability.
Beta, preview, experimental, or newly released features may be changed or discontinued and may have additional limitations.
12. Suspension and termination
You may stop using the Service and cancel your subscription as described above. We may suspend or terminate access if fees are overdue, use creates a security or legal risk, you materially breach these Terms, or suspension is reasonably necessary to protect Quotr, our users, or others.
Following termination, your right to use the Service ends. We may provide a reasonable opportunity to export available Customer Data when practical, but we are not required to retain data indefinitely. Provisions that by their nature should survive termination—including ownership, payment obligations, disclaimers, limitations, indemnification, and dispute terms—will survive.
13. Disclaimers
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE.” QUOTR DISCLAIMS ALL EXPRESS, IMPLIED, AND STATUTORY WARRANTIES, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, AND UNINTERRUPTED OR ERROR-FREE OPERATION.
Quotr does not guarantee specific sales, profit, cost savings, conversion rates, production outcomes, customer results, or compatibility with every device, vendor, POS, workflow, or legal requirement.
14. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, QUOTR AND ITS OFFICERS, MEMBERS, EMPLOYEES, CONTRACTORS, AND SERVICE PROVIDERS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, DATA, GOODWILL, BUSINESS OPPORTUNITIES, OR PRODUCTION LOSSES, EVEN IF ADVISED OF THE POSSIBILITY.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, QUOTR'S TOTAL LIABILITY ARISING OUT OF OR RELATING TO THE SERVICE OR THESE TERMS WILL NOT EXCEED THE AMOUNT YOU PAID TO QUOTR FOR THE SERVICE DURING THE TWELVE MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM.
Some jurisdictions do not allow certain exclusions or limitations, so some of the above may not apply to you.
15. Indemnification
To the extent permitted by law, you will defend, indemnify, and hold harmless Quotr and its officers, members, employees, and contractors from claims, damages, losses, liabilities, and reasonable costs arising from your Customer Data, your products or services, your violation of these Terms or law, your infringement of another person's rights, or your misuse of the Service.
16. Governing law and disputes
These Terms are governed by the laws of the State of Texas, without regard to conflict-of-law rules. Before filing a formal claim, each party agrees to give the other written notice and make a good-faith effort for at least 30 days to resolve the dispute informally.
Unless applicable law requires otherwise, any court proceeding will be brought in the state or federal courts serving the county in Texas where Quotr maintains its principal place of business, and each party consents to personal jurisdiction and venue there.
17. Changes to these Terms
We may update these Terms to reflect changes to the Service, business practices, or law. We will post the updated Terms and revise the “Last updated” date. Material changes will apply prospectively, and we will provide additional notice when required by law. Continued use after updated Terms take effect constitutes acceptance.
